1. What BuboSoma Is

BuboSoma provides scheduling, client records, SOAP note documentation, payment processing, membership management, and related practice management tools built specifically for massage therapy and bodywork professionals, offered on a subscription basis.

2. Your Account

Accurate information. Keep your account information current and accurate.

Account security. You're responsible for activity under your account, including your employees and staff. Tell us promptly if you suspect unauthorized access.

Lawful use. You'll comply with applicable laws, including massage therapy licensing, client data privacy, and payment regulations. You're solely responsible for your own professional licensure and scope of practice.

Your clients. You're responsible for getting any consents required before collecting or storing client information through the Service.

Acceptable use. No unlawful content, no disrupting the Service, no unauthorized access attempts, no spam, no reverse engineering.

3. Your Data

You own it. All client records, SOAP notes, and business data you put into BuboSoma belong to you. We don't claim ownership.

How we use it. Only to provide, maintain, and improve the Service for you, and for billing and support. We don't sell your data. Aggregated or de-identified data we might use for product improvement will never identify you or your clients.

HIPAA. BuboSoma is built with HIPAA-aware design practices. [Attorney review: confirm current Business Associate Agreement availability and finalize this section before publishing. If a signed BAA isn't yet offered, this section must say so clearly, and Covered Entities should be instructed not to submit PHI until one is in place.]

Security. We maintain reasonable safeguards to protect your data. No system is perfectly secure, and we can't guarantee absolute security.

4. Fees & Billing

• You pay the subscription fee for your selected plan, billed in advance on your chosen cycle.
• Rate-locked and Founding Member plans keep their price for as long as your subscription stays active and in good standing.
• No setup fees, ever.
• Free trials convert to paid automatically unless you cancel first.
• Cancel anytime, effective at the end of your current billing period. No exit fees.
• Client payments are processed by our third-party payment partner (currently Stripe), subject to their own terms. [This will need updating once BuboSoma's own PayFac model is live.]
• Failed payments may be retried; continued non-payment can lead to suspension after reasonable notice.
• Fees exclude applicable taxes, which you're responsible for.

5. Third-Party Tools

BuboSoma may integrate with third-party tools (QuickBooks, Google Calendar, Mailchimp, Zapier, Square, and similar). These are provided by third parties, aren't part of the Service, and are governed by their own terms. We're not responsible for their availability or practices.

6. Intellectual Property

Our IP. BuboSoma owns the Service, its software, design, and trademarks. You get a limited, non-exclusive right to use it for your business, not to copy, modify, or reverse engineer it.

Your content. You keep ownership of your business name, logo, and any content you upload for your booking pages. You grant us a limited license to display it as needed to run the Service for you.

7. Disclaimers

The Service is provided "as is." We disclaim implied warranties to the extent the law allows, and don't guarantee uninterrupted or error-free operation.

Important: BuboSoma is software. We don't provide massage therapy or healthcare services, and we're not responsible for the professional services you provide to your clients.

8. Limitation of Liability

To the extent the law allows, our total liability for any claim is capped at what you paid us in the twelve months before the claim arose. We're not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

9. Indemnification

You agree to cover claims arising from your breach of these Terms, your violation of law, the massage therapy or related services you provide, or content you submit through the Service.

10. Termination

You can cancel anytime. We may suspend or terminate your account for uncured material breach, or immediately for security or legal risk. After termination, you can export your data for 30 days before we may delete it, except where the law requires us to retain it.

11. Changes to These Terms

We may update these Terms. Material changes will be communicated by email or in-app notice before they take effect. Continuing to use the Service afterward means you accept the update.

12. Dispute Resolution

[Attorney decision needed: whether BuboSoma adopts binding arbitration with a class action waiver, common among larger competitors, or a simpler informal-resolution-then-courts approach. This is a real values call, arbitration limits your customers' legal options in exchange for lowering BuboSoma's litigation exposure, which sits in tension with a "no hostage tactics, practitioner-first" brand. Worth deciding deliberately rather than defaulting to what a much larger competitor uses for different reasons.]

13. General Terms

Governing law. Wyoming law governs these Terms. [Confirm once the final entity structure, including any holding company or trust layer, is settled.]

Entire agreement. These Terms plus our Privacy Policy make up the whole agreement between you and BuboSoma.

Severability. If any part of these Terms is found unenforceable, the rest stays in effect.

Assignment. You can't assign these Terms without our consent. We may assign them in a merger, acquisition, or asset sale.
